Terms of Use

BY CLICKING OR TAPPING ON I AGREE BELOW AND/OR BY ACCESSING OR USING THE SITE (AS DEFINED BELOW) IN ANY MANNER, YOU ACKNOWLEDGE THAT YOU HAVE READ AND AGREE TO BE BOUND BY THESE TERMS OF USE ("TERMS"). WITH RESPECT TO CERTAIN SERVICES, YOU MAY HAVE TO AGREE TO ADDITIONAL TERMS AND CONDITIONS THAT APPLY TO SUCH SERVICES (SUCH ADDITIONAL TERMS ARE REFERRED TO HEREIN AS THE "SPECIFIC TERMS"). In the event of any conflict or inconsistency between these Terms and the Specific Terms, the Specific Terms shall prevail and control. These Terms constitute a legally binding agreement between you ("you", or "your") and ADP, Inc. or its affiliate that makes available the services or products you use or will use ("Services") to you or your employer, as applicable ("ADP"; "we", "us" and "our"). As used herein, the term "Site" shall refer to the application, website or web portal that includes software proprietary of ADP (the "Software") used to make available the Services. If you do not agree to all of the Terms, you are not authorized to access or otherwise use the Site.

1. SITE OVERVIEW

A. AUTHORIZED AND UNAUTHORIZED USERS

The Site is available only to users who are (a) current or former employees, independent contractor-recipients of wage payments, or plan participants ("Employer Authorized Users") of the employer indicated on the Site (the "Employer") permitted by the Employer to use the Site, or (b) individuals or businesses (e.g., job applicants, accounting firms, and partner firms) authorized by ADP to access and use the Site in connection with certain Services offered to such users independent of an ADP client's relationship with its Employer Authorized Users (the Employer Authorized Users described in clause (a) and the users described in clause (b) of this section are collectively referred to as "Users" and each, a "User").

Access to and use of the secure areas of the Site is restricted to a User only for personal use or for official business purposes on behalf of your Employer and such use or access is prohibited to Unauthorized Third Parties. An "Unauthorized Third Party" refers to (a) any third party or business that seeks to access or accesses the Site regardless of the User's purported consent, in order to access, copy or obtain information within the Site, whether by an automated data gathering program or by other means, including data scrapers, data aggregators and (b) any third parties seeking to monetize data obtained from ADP without ADP's express consent. Unauthorized access, including any access by Unauthorized Third Parties, is prohibited and may lead to criminal prosecution.

B. EMPLOYEE/PLAN PARTICIPANT USERS

The Employer, through its service agreement(s) with ADP is providing you with access to information and Services on the Site under these Terms. Please note that not all Terms may be applicable to you. Only the Terms applicable to the products and services purchased by your Employer under its service agreement(s) with ADP apply.

On the Site, you will be able to access certain employment-related or plan-related information and documents made available by your Employer and to participate in the Services. As an employee or plan participant, your use is limited to your own individual use. You acknowledge and agree that it is your responsibility to submit information relating to the Services and to verify the accuracy and completeness of all such information. ADP does not review the accuracy or completeness of the information you submit.

Calculations, estimates or modeling of events or circumstances, including projected or expected annual expenses, provided on the Site are estimates only and are being provided by ADP for informational purposes only. Your actual costs and expenses may vary.

You acknowledge and understand that ADP is merely making the Site available on behalf of the Employer and is not acting as an investment advisor, broker-dealer, insurance agent or intermediary or a financial or benefit planner or tax advisor. ADP is not providing any benefits or any information related thereto. The Employer is responsible for making available all benefits and information related thereto referenced or included on the Site. The prior two sentences do not apply to employees of companies who have entered service agreements with ADP TotalSource, Inc.

A summary of the benefits provided under a workplace plan is usually contained in the plan's "summary plan description," or "SPD." Full details are provided in the actual governing plan documents, which govern the operation of the plan. If the content of the Site is inconsistent with an SPD, the terms of the SPD will control (and if the terms of the SPD are inconsistent with the governing plan documents, the governing plan documents will control). The information presented on the Site is not intended to create, nor is it to be construed to create a contract between (1) the Employer or ADP, or their respective affiliates and (2) any one of the Employer's employees or other plan participants.

C. ADMINISTRATOR USERS

As an authorized administrator for the Employer, your acceptance of these Terms will serve to bind BOTH you and the Employer and in accepting such terms, you represent that you are authorized to so bind the Employer. The portion of the Terms specifically applicable to "Administrator Users" will be binding upon you in your capacity as an authorized administrator and on the Employer, and the terms specifically applicable to "Employee/Plan Participant Users" or "Employees" or "Participants" will be binding upon you as an employee or a plan participant, and not upon your Employer. All other terms will be binding upon both you and the Employer.

As an authorized administrator for the Employer, you acknowledge and understand, on behalf of the Employer, that ADP is merely making the Site available and is not acting as an investment advisor, broker-dealer, insurance agent or intermediary or a financial or benefit planner. ADP is not providing any benefits, or any information related thereto. As an authorized administrator for the Employer, you acknowledge, on behalf of the Employer, that the Employer is responsible for making available all benefits and information related thereto referenced or included on the Site. The prior two sentences do not apply to employees of companies who have entered service agreements with ADP TotalSource, Inc.

2. AUTHORIZED ACCESS

The Site is available only to authorized Users who provide (i) a valid, registered user ID and (ii) password, passkey (e.g., Touch ID, Face ID, PIN) or other authentication method (e.g., social media login, one-time passcode to email or phone, third-party authenticator application) (clauses (i) and (ii) collectively referred to as, "Credentials") whether issued by ADP or by your Employer to enable federated single sign-on ("SSO"). The Credentials available for your use depend on your device (e.g., computer or mobile device, collectively, "Device") and its operating system, the ADP Service(s) you use, and, if applicable, the preferences of your employer or the ADP client.

If you sign in to the Site using a passkey, either biometric (Touch ID, Face ID) or PIN, such Credentials are encrypted and stored in your Device only; they are not shared with ADP. For more information about how the manufacturer of the operating system of your Device ("OS Manufacturer") protects your Credentials, please refer to the OS Manufacturer's privacy policy and security guides. If you use federated SSO or social media login, such Credentials remain with your Employer or social media provider, respectively.

You agree to take all actions necessary to maintain the privacy, confidentiality and security of your Credentials and Devices. These actions include, without limitation, not disclosing your Credentials to any person, safeguarding your Credentials in a private and secure place, securing your Devices when not in use, adopting special precautions when accessing the Site from a Device that can be used by other people (e.g., a publicly-shared device), and logging out of the Site at the end of each session.

If you believe that an Unauthorized Third Party has access to your account, you should change your Credentials immediately and notify your security administrator and/or your HR Department, and/or any other party specified in the Specific Terms for the applicable Services.

3. LAWS AND REGULATIONS

Access to and use of the Site is subject to all applicable international, federal, state, provincial, and local laws and regulations, including export and import laws and regulations. You agree to abide by these laws and regulations, including those that apply to the Site and those that restrict or prohibit export for certain end-uses or to certain end-users, and not use the Site in any way that violates such laws or regulations.

4. PRIVACY

Any personal information provided to ADP through the Site is subject to the ADP privacy statement applicable to the Services being provided to you or your employer, as applicable.

5. SECURITY

Data transmitted to and from the Site is encrypted for your protection; however, the security of information transmitted through the internet can never be guaranteed. ADP is not responsible for any interception or interruption of any communications through the internet or for changes to or losses of data. To protect you and your data, ADP may reset your Credentials or suspend your use of the Site, without notice, pending an investigation, if any such unauthorized disclosure or breach of security is suspected.

6. COPYRIGHTS AND TRADEMARKS

The Software, information and brands available on or through the Site are the sole and exclusive property of ADP or its licensors (except for that information that is the sole and exclusive property of your Employer or yourself), and is protected by copyright, trademark, and other intellectual property laws. You may not use the trademarks, logos and service marks ("Marks") found on the Site for any purpose, including, but not limited to, use as "hot links" or meta tags in other pages or sites on the World Wide Web, without the written permission of ADP or such third party that may own the Mark.

7. RIGHTS TO USE SOFTWARE; NO TAMPERING

You are not purchasing title to the Software or copies thereof. ADP reserves all rights not expressly granted to you. You may not modify, copy, distribute, transmit, display, publish, sell, rent, license, create derivative works or otherwise use any contents, information or Software available on or through the Site for commercial or public purposes (except for that information that is the sole exclusive property of your Employer or yourself). You are granted access to use the Software on a limited, revocable, non-exclusive, and non-transferable basis, subject to these Terms. You may not decompile, reverse engineer, disassemble, attempt to derive the source code of, modify, or create derivative works of the Software, any updates, or any part thereof (except as and only to the extent any foregoing restriction is prohibited by applicable law or to the extent as may be permitted by the licensing terms governing use of any open-source components included with the Software). You agree not to modify, move, add to, delete, tamper with, manipulate or otherwise disrupt the Site, the Software contained in the Site, or the information contained in the Site, and further agree not to circumvent any ADP technical controls and security measures. Any attempt to do so is a violation of the rights of ADP and its licensors.

8. USE OF SITE NOT TRANSFERABLE/ASSIGNABLE

The right to use the Site is personal to each User that is authorized to use the Site and is not transferable by such User by assignment, sublicense, or any other method to any other person or entity. Any attempt by a User to transfer such User's rights shall be void and shall constitute a breach of these Terms.

9. OFFENSIVE, DESTRUCTIVE OR INAPPROPRIATE USE

You shall not exploit the Site in any unauthorized way whatsoever, including but not limited to, by trespass or burdening network capacity. You acknowledge and agree you are not permitted to use any personally identifiable information of another person for personal use and you agree not to copy, reproduce, transfer or distribute any personally identifiable or confidential information other than in compliance with all laws and as permitted in connection with the Services. You further agree not to use the Services in any manner to harass, abuse, stalk, threaten, defame or otherwise infringe or violate the rights of any other party, and that ADP is not in any way responsible for any such use by you, nor for any harassing, threatening, defamatory, offensive or illegal messages or transmissions that you may receive as a result of using any of the Services. ADP may remove from the Site any content that it deems offensive in its reasonable discretion. You also agree not to adopt any obscene, vulgar or profane Credentials.

10. YOUR REPRESENTATIONS

You represent, warrant and covenant that: (a) you are authorized to access and use the Site; (b) all instructions and information you enter into the Site will be accurate and complete; (c) you will verify and remain solely responsible for all instructions and information entered into the Site; (d) you will not knowingly upload, transmit, distribute or otherwise publish through the Site any materials that contain a virus, worm or other harmful component or that would cause the Site to malfunction; (e) you will not decompile, reverse engineer, disassemble or unlawfully use, copy or reproduce any of the Software or other copyrighted or trademarked material, trade secrets or other proprietary or confidential information contained in the Site; and (f) if you are accessing ADP's background screening services, you shall not attempt to obtain any background report on yourself or any other person, except in the exercise of your official duties.

11. LINKS FROM THIRD-PARTY SITES

ADP prohibits unauthorized links to the Site and the framing of any information contained on the Site or any portion of the Site. ADP reserves the right to disable any unauthorized links or frames. ADP has no responsibility or liability for any material on other web sites that may contain links to the Site.

12. LINKS TO THIRD-PARTY SITES; OTHER CONTENT; THIRD-PARTY SERVICES

The Site may display, include or make available content, data, information, applications or materials from third parties or provide links to certain third-party web sites. Third-party materials and links to other web sites are provided solely as a convenience to you. You acknowledge and agree that ADP is not responsible for examining or evaluating the content, accuracy, completeness, timeliness, validity, copyright compliance, legality, decency, quality or any other aspect of such third-party materials or web sites. ADP does not warrant or endorse and does not assume and will not have any liability or responsibility to you or any other person for any third-party services, third-party materials or web sites, or for any other materials, products, or services of third parties. You also agree that any third-party charges that are necessary to use the Site, such as internet charges and service provider charges, are your responsibility and not that of ADP. You understand that by using any of the third-party services, you may encounter content that may be deemed offensive, indecent, or objectionable, which content may or may not be identified as having explicit language, and that the results of any search or entering of a particular URL may automatically and unintentionally generate links or references to objectionable material. You agree to use such services at your sole risk and ADP shall not have any liability to you for content that may be found to be offensive, indecent, or objectionable. ADP DOES NOT ENDORSE, WARRANT, OR GUARANTEE ANY PRODUCT, INFORMATION OR SERVICE OFFERED BY A THIRD PARTY THROUGH THE SITE, AND WILL NOT BE A PARTY TO OR IN ANY WAY MONITOR ANY TRANSACTION BETWEEN ANY USER OF THE SITE AND ANY SUCH THIRD-PARTY PROVIDER.

13. NO WARRANTIES

ADP, ITS LICENSORS AND VENDORS MAKE NO WARRANTIES WHATSOEVER WITH RESPECT TO THE SITE. YOU ACKNOWLEDGE THAT YOUR USE OF THE SITE IS AT YOUR OWN RISK. THE SITE IS PROVIDED SOLELY ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. ADP, ITS LICENSORS AND VENDORS MAKE, AND YOU RECEIVE, NO WARRANTIES, EXPRESS OR IMPLIED, IN FACT OR OTHERWISE. ADP, ITS LICENSORS AND VENDORS EXPRESSLY DISCLAIM ANY IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, AND/OR NONINFRINGEMENT. NEITHER ADP NOR ITS LICENSORS NOR VENDORS WARRANTS THAT THE OPERATION OF THE SITE SHALL BE UNINTERRUPTED, FREE OF VIRUSES, WORMS, TROJAN HORSES OR ANY OTHER MALICIOUS CODE, ERROR FREE OR THAT IT WILL FUNCTION OR OPERATE IN CONJUNCTION WITH ANY OTHER PRODUCT. ADP, ITS LICENSORS AND VENDORS FURTHER DISCLAIM ANY WARRANTY THAT THE RESULTS OBTAINED THROUGH THE USE OF THE SITE WILL MEET YOUR NEEDS. NOTHING IN THIS AGREEMENT IS INTENDED TO EXCLUDE, RESTRICT OR MODIFY YOUR NON-EXCLUDABLE RIGHTS. THE WARRANTIES, LIMITATIONS AND EXCLUSIONS OF LIABILITY OF ADP CONTAINED IN THIS AGREEMENT APPLY ONLY TO THE FULL EXTENT PERMITTED BY LAW.

14. LIMITATION OF LIABILITY

TO THE EXTENT PERMITTED BY LAW (AND UNLESS OTHERWISE SPECIFICALLY SET FORTH IN THE SPECIFIC TERMS), UNDER NO CIRCUMSTANCES SHALL ADP, ITS LICENSORS OR VENDORS BE LIABLE FOR ANY DAMAGES SUFFERED BY YOU, INCLUDING, WITHOUT LIMITATION, ANY DIRECT, INCIDENTAL, INDIRECT, SPECIAL, EXEMPLERY OR CONSEQUENTIAL DAMAGES (INCLUDING, WITHOUT LIMITATION, (I) LOSSES ARISING FROM THE FAILURE TO RECEIVE ANY BENEFITS, (II) ANY TRADING LOSSES, (III) LOSSES ARISING FROM THE USE OR THE INABILITY TO USE THE SITE, (IV) LOSSES ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA, (V) DAMAGES OR LOSSES RESULTING FROM YOU SHARING OR ALLOWING ACCESS TO YOUR CREDENTIALS, OR (VI) LOSS OF INFORMATION, PROGRAMS OR OTHER DATA THAT RESULT FROM ACCESS TO, USE OF, OR INABILITY TO USE THE SITE OR DUE TO ANY BREACH OF SECURITY ASSOCIATED WITH THE TRANSMISSION OF INFORMATION THROUGH THE INTERNET. THIS LIMITATION OF LIABILITY SHALL BE IN FULL FORCE REGARDLESS OF WHETHER SUCH LIABILITY IS BASED ON BREACH OF CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE, AND EVEN IF ADP, ITS LICENSORS AND VENDORS HAD PREVIOUSLY BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

15. TERMINATION

The Site may be discontinued, temporarily or permanently, by ADP at any time without notice to Users. ADP shall not be liable to any User or to any third party for any suspension or discontinuance of the Site. In addition, a User's rights to access the Site shall terminate (a) with respect to an Employer Authorized User, upon the Employer's withdrawal of such Employer Authorized User's permission to access the Site, and (b) with respect to any other User, as specified in the Specific Terms for the applicable Services.

16. CHANGES TO SERVICE AND TERMS

ADP is not responsible for any technical inaccuracies or typographical errors that may be contained in these Terms. ADP reserves the right to change these Terms in its sole discretion at any time. Any such changes to the Terms will become effective immediately upon being posted on the Site. The Site may be modified, temporarily or permanently, by ADP at any time without notice to you. You agree that ADP shall not be liable to you or to any third party for any suspension, discontinuance or modification of the Site.

17. NO LEGAL OR PROFESSIONAL ADVICE

You acknowledge that ADP is not rendering legal advice or other professional services. While every effort is made to provide current information, the law changes regularly and laws may vary depending upon the country, state, province or municipality. The materials in the Site are made available for informational purposes only and are not a substitute for legal advice or your professional judgment. You should review applicable law in your jurisdiction and consult counsel for legal advice. You assume all responsibility for and risk arising from your use of and reliance upon the contents of the Site.

18. CONSENT TO USE OF DATA; TECHNICAL COOKIES

You agree that ADP may collect and use technical data and related information, including but not limited to technical information about your Device, system and application software, and peripherals, that is gathered periodically to facilitate the provision of software updates, product support and other services to you (if any) related to the Software. ADP may use this information, as long as it is in a form that does not personally identify you, to improve its products or to provide services or technologies to you or the Employer. ADP will install memory-based cookies to support user authentication and identification while using the Site, and to support technical monitoring of the Site. You have the ability to modify your browser to accept cookies or not, but if you reject cookies, you may not be able to utilize the portions of the Site that require registration.

19. PROCEDURE FOR MAKING CLAIMS OF COPYRIGHT INFRINGEMENT

Pursuant to the Digital Millennium Copyright Act, ADP has registered an agent with the U.S. Copyright Office. Notices of claimed copyright infringement on the Site should be directed to: Automatic Data Processing, Inc., 1 ADP Boulevard, Roseland, NJ 07068, Attn: Legal Department, Intellectual Property Counsel. NOTE: THIS ADDRESS IS FOR COPYRIGHT INFRINGEMENT ISSUES ONLY.

20. GOVERNING LAW

EXCEPT AS SET FORTH IN THE SPECIFIC TERMS, THESE TERMS SHALL BE GOVERNED BY AND CONSTRUED ACCORDING TO THE LAWS OF THE STATE OF NEW JERSEY, EXCLUDING ITS CONFLICTS OF LAWS RULES, REGARDLESS OF WHERE ANY ACTION MAY BE BROUGHT. YOU AGREE TO SUBMIT TO THE EXCLUSIVE JURISDICTION OF THE STATE AND FEDERAL COURTS OF THE STATE OF NEW JERSEY. NOTWITHSTANDING ANYTHING TO THE CONTRARY ABOVE, IF YOU AND YOUR EMPLOYER ARE LOCATED IN CANADA, THESE TERMS SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE PROVINCE OF ONTARIO, AND THE FEDERAL LAWS OF CANADA, APPLICABLE THEREIN, EXCLUDING ANY CONFLICTS OF LAWS RULES, REGARDLESS OF WHERE ANY ACTION MAY BE BROUGHT. YOU AGREE TO SUBMIT TO THE EXCLUSIVE JURISDICTION OF THE COURTS OF THE PROVINCE OF ONTARIO. NOTWITHSTANDING ANYTHING TO THE CONTRARY ABOVE, IF YOU ARE RECEIVING THE SERVICES IN A COUNTRY OUTSIDE OF THE UNITED STATES OR CANADA, OR IF YOUR EMPLOYER IS LOCATED IN A COUNTRY OUTSIDE THE UNITED STATES OR CANADA, THESE TERMS SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE APPLICABLE LAWS OF THE COUNTRY WHERE YOU ARE RECEIVING SUCH SERVICES, OR COUNTRY OF YOUR EMPLOYER, AS APPLICABLE, IN EACH CASE, EXCLUDING ANY CONFLICTS OF LAWS RULES AND REGARDLESS OF WHERE ANY ACTION MAY BE BROUGHT, YOU AGREE TO SUBMIT TO THE EXCLUSIVE JURISDICTION OF THE COURTS WHERE YOU ARE RECEIVING THE SERVICES OR OF THE COUNTRY OF YOUR EMPLOYER, AS APPLICABLE. NOTWITHSTANDING ANYTHING TO THE CONTRARY ABOVE, IF YOU ARE RECEIVING THE SERVICES IN AUSTRALIA, OR IF YOUR EMPLOYER IS LOCATED IN AUSTRALIA, THESE TERMS SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE APPLICABLE LAWS OF THE STATE OF VICTORIA, EXCLUDING ANY CONFLICTS OF LAWS RULES AND REGARDLESS OF WHERE ANY ACTION MAY BE BROUGHT, YOU AGREE TO SUBMIT TO THE EXCLUSIVE JURISDICTION OF THE COURTS OF THE STATE OF VICTORIA.

21. THIRD-PARTY BENEFICIARIES

ADP's licensors and vendors shall be considered third-party beneficiaries of these Terms for purposes of Sections 13 and 14.

22. FEEDBACK

You may from time to time provide suggestions, comments or other feedback ("Feedback") to ADP with respect to the Site. All Feedback shall be provided voluntarily and shall not, absent a separate written agreement, create any confidentiality or other obligation for ADP. ADP may (without any payment or other obligation to you) use, disclose, reproduce, license or otherwise distribute any Feedback it receives at its discretion.

23. ADDITIONAL TERMS APPLICABLE TO USERS OF ADP MOBILE APPLICATION

A. GEO-LOCATION FUNCTIONALITY

ADP offers a GPS/geo-location feature which may be enabled or disabled by your Employer. If the feature is enabled, it determines if you are at a location approved by your Employer and are therefore able to enter a time entry action. In this case, the clock feature of the Software requires the use of your Device's GPS/geo-location services. If your Employer has enabled the GPS/geo-location feature, this feature will remain inoperative until you see the prompt screen 'ADP Mobile Would Like to Use Your current location. At that point you may either allow or not allow ADP to access your location. If you choose to allow it, the ADP GPS/geo-location feature collects your longitude and latitude by determining your location provided by a GPS device built into your Device and geo-location services provided by the Device operating system. Such data is subsequently sent back to the time and attendance solution purchased by your Employer and then used for the purposes made known to you by your Employer. The remaining provisions explain how allowing 'ADP Mobile to Use Your current location' will affect you depending on the type of Device you are using: (a) Native applications: If your Device has a native application ("app") which, along with the Device operating system provides geo-location services, you will not be enabling geo-location information on your Device to be collected by other apps (unrelated to ADP) that are also installed on your Device, (b) Web browser: If your Device functionality requires that you access the Software through your Device web browser, you may access the Software via your Device web browser in the same manner that you would access the Software from a desktop computer. However, if you choose to allow your web browser to access the GPS/geo-location feature on your Device, then you may be enabling geo-location information on your Device to be collected by other websites (unrelated to ADP) that you also visit on your Device. In either case, if you choose not to allow the geo-location functionality on your Device, then you will not be able to use your mobile Device to enter your time and attendance data.

B. UPDATES

By downloading the Software on your Device, you expressly consent to future automatic installations of Software updates and upgrades that replace, modify and/or supplement the Software. The purpose of any such future updates and upgrades may include: to improve the Software, bring it up to date or otherwise enhance its features.

C. COMMERCIAL ITEMS

ADP's mobile application and related documentation are 'Commercial Items', as that term is defined at 48 C.F.R. Section 2.101, consisting of 'Commercial Computer Software' and 'Commercial Computer Software Documentation', as such terms are used in 48 C.F.R. Section 12.212 or 48 C.F.R. Section 227.7202, as applicable. Consistent with 48 C.F.R. Section 12.212 or 48 C.F.R. D. ACKNOWLEDGMENT

You acknowledge that these Terms are entered into with ADP only, and not with the OS Manufacturer. To the extent set forth herein, ADP, and not the OS Manufacturer, is responsible for the application and the content thereof. You acknowledge that the OS Manufacturer has no obligation whatsoever to furnish any maintenance or support with respect to the application.
